Frequently Asked Questions
Investors often ask about eligibility, distributions, taxes and risk before they own a working interest. Explore the FAQs below to educate yourself on the offering.
About the investment
What do I own when I invest with Guardian Energy Partners?
Guardian’s programs offer direct working-interest participation in oil and gas wells. A working interest is direct ownership in the well, not a passive royalty, and your share of the revenue (your net revenue interest) is what remains after royalties are paid. Operating costs are then charged against the working interest. Each program’s exact structure is set out in its offering documents.
Who is Guardian Energy Partners?
Guardian Energy Partners is a fully integrated, multi-disciplinary oil and gas investment group headquartered in Dallas, Texas, not a brokerage firm. You can read more about the company and its investor-first approach, and about the people behind Guardian’s programs.
How does Guardian choose the wells in a program?
Before Guardian commits capital, it checks whether the geology supports the investment, using modern 3D seismic, offset production and well logs. Every prospect is thoroughly vetted by a team of industry experts before it is offered to partners. The five principles of Guardian’s approach explain it in more detail.
Who can invest
Who can invest?
Only accredited investors. Guardian’s offerings are private offerings under SEC Regulation D, documented by a private placement memorandum. Securities are offered only to verified accredited investors, and only through the Prospectus.
What is an accredited investor?
In general terms, an individual with income over $200,000 (or joint income with a spouse over $300,000) in each of the past two years who reasonably expects the same this year, or an individual with a net worth over $1,000,000. Guardian verifies accredited status before it sends the Prospectus.
Is there a minimum investment?
Investment amounts and unit terms are set out in each program’s offering documents, which Guardian sends with the Prospectus once your accredited status is verified.
Income and reporting
How are distributions paid?
Wells that produce can pay monthly distributions to owners. Distributions are targeted to begin once the first well is in production. They depend on production and commodity prices, so they are not guaranteed.
How much income can I expect?
This website does not publish return estimates. Results depend on drilling results, production, commodity prices, operating costs and the timing of distributions, and actual results may differ materially from any estimate. Past performance is not indicative of future results.
Will I be asked for more money later?
Guardian’s programs are turnkey to the point of production, so you will not be asked for additional capital to bring the wells in your program into production. Once the wells are producing, later costs, such as a repair years down the road, are the partnership’s obligation. If a producing lease has room for more wells, that development would likely be offered through a separate fund. The terms for each program are set out in its offering documents.
What reports will I receive?
Investors receive drilling reports during operations, then monthly production and distribution reporting once a well produces.
Taxes
What tax benefits may apply?
Working interest owners may qualify for tax deductions that most other investments do not allow, including intangible drilling costs, tangible drilling costs and the depletion allowance. For qualifying working-interest investors, these deductions may offset active income, not just passive gains. Read how each oil and gas tax deduction works for the details.
Should I talk with my tax advisor?
Yes. Tax treatment depends on each investor’s circumstances and current law. Review the offering documents and consult your own tax advisor before investing.
Risks
What are the risks?
Oil and gas investments involve substantial risk, including the possible loss of principal. Drilling results, production, commodity prices and operating costs can all differ from expectations. Full risk factors are disclosed in the offering documents, and prospective investors should rely solely on those documents.
How does Guardian manage risk?
All oil and gas investments carry risk. Guardian works to reduce it by developing proven areas, working with established operators and using modern drilling technology. Prospects offset established production, and 3D seismic validation and reprocessing are used where available.
Can I sell my interest?
There is no public market for these securities, and none is expected to develop. Interests may be transferred or resold only as the offering documents and securities laws allow.
